1.Acceptance of Terms

("FileMyBiz," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all terms and conditions, you must not access our website or use our services.

2.Eligibility & Authority

You represent and warrant that:

1. You are at least 18 years of age (or the legal age of majority in your jurisdiction).
2. You have the full power, legal capacity, and authority to enter into these Terms on your own behalf and on behalf of any entity or business you represent.
3. If ordering services for an entity, you are authorized by that entity, its owners, members, directors, or officers to submit filings and make payments on its behalf.

3.Description of Services

FileMyBiz provides an online administrative and document preparation technology platform designed to assist business owners, entrepreneurs, and professional firms in preparing and submitting corporate filings, entity formations, registrations, and ongoing compliance documents with state and federal agencies across the United States.

4.No Legal, Tax, Accounting, or Financial Advice

FILE MY BIZ INC. IS NOT A LAW FIRM, AN ACCOUNTING FIRM, A CPA FIRM, OR A REGISTERED AGENT, NOR ARE WE AFFILIATED WITH ANY GOVERNMENT AGENCY.

• Our services, tools, software, communications, and customer support representatives provide general administrative assistance, document preparation, and procedural filing support only.
• None of the information, materials, or communications provided by FileMyBiz constitutes legal, tax, accounting, or financial advice.
• No attorney-client, accountant-client, or fiduciary relationship is created between you and FileMyBiz through your use of our platform.
• If you require legal advice, tax strategy, or custom corporate planning, you should consult an independent licensed attorney, Certified Public Accountant (CPA), or tax professional.

5.Customer Authorization & Filing Agency

By submitting an order, you grant FileMyBiz a limited, non-exclusive administrative agency to:

1. Prepare filing documents using the exact information, names, addresses, and details you provide.
2. Sign, submit, and deliver documents on your behalf to state filing offices (e.g., Secretary of State), federal agencies (e.g., Internal Revenue Service, FinCEN), and county or local recording offices.
3. Receive, download, and store filed certificates, receipts, notices, and correspondence on your behalf in your FileMyBiz client account.

6.Customer Responsibilities & Accuracy of Information

You are solely responsible for:

1. The truthfulness, accuracy, completeness, and legality of all data, names, addresses, Social Security Numbers (SSN), Employer Identification Numbers (EIN), and information you provide.
2. Ensuring your chosen business name, trade name, or DBA does not infringe upon any third party's intellectual property, trademark, or common law rights.
3. Maintaining active, valid contact information (email address and phone number) so we can transmit filing receipts, time-sensitive notices, and government correspondence.

7.Review & Approval of Filings

Before submitting any order, you are presented with a detailed summary of your filing information. You are obligated to carefully review all details — including entity names, owner and officer details, capitalization, addresses, and registered agent designations — before confirming submission. Once submitted to a government agency, filing amendments typically require separate state filings and government filing fees.

8.Business Name Availability & Trademarks

1. Any preliminary name check conducted through our platform is an automated preliminary check against public state databases only. It does not guarantee that the state filing office will approve your chosen name upon official submission.
2. State approval of a business entity name or DBA does not confer federal, state, or common-law trademark protection. FileMyBiz is not responsible for any trademark disputes, infringement claims, or cease-and-desist actions resulting from your choice of name.

9.Processing Times & Government Delays

1. Turnaround times displayed on our site are estimates based on standard state processing schedules.
2. FileMyBiz is not responsible for delays caused by state agency backlogs, government holidays, office closures, system outages, natural disasters, or unexpected state review procedures.
3. Expedited fees, where available, accelerate processing within state agencies per their published expedited schedules; expedited fees do not guarantee approval within a specific hour or day.

10.Filing Rejections & Resubmissions

If a government agency rejects a filing due to an error, omission, or name unavailability:

1. FileMyBiz will promptly notify you through your client portal and via email detailing the reason for rejection.
2. If the rejection is due to information you provided (e.g., conflicting name, incomplete address, invalid individual data), we will assist you in revising the filing. Any additional government fees imposed by the state will be your responsibility.
3. If the rejection is due to an administrative error solely caused by FileMyBiz, we will correct and resubmit the document at our expense.

11.Compliance Services & Reminders

1. FileMyBiz provides compliance tracking tools, due-date calendars, and courtesy email notifications for annual reports, franchise tax returns, and statutory filing deadlines.
2. While we make every commercially reasonable effort to maintain accurate statutory calendars, compliance laws, reporting requirements, and filing deadlines vary by jurisdiction and are subject to change.
3. The ultimate legal responsibility for maintaining your entity in good standing and satisfying statutory deadlines rests exclusively with you as the business owner. FileMyBiz is not liable for late fees, penalties, administrative dissolutions, or loss of good standing.

12.Beneficial Ownership Information (BOI / FinCEN)

If you utilize our platform to prepare or submit a Beneficial Ownership Information (BOI) Report under the Corporate Transparency Act (CTA):

1. You are solely responsible for identifying all beneficial owners and company applicants and certifying the accuracy of all reporting data.
2. You acknowledge that willful submission of false or fraudulent BOI information carries substantial federal civil and criminal penalties under federal law.
3. FileMyBiz acts strictly as an electronic transmitter and does not independently verify the identities, beneficial ownership percentages, or substantial control status of the individuals reported.

13.Artificial Intelligence & Automated Features

1. FileMyBiz utilizes automated algorithms and artificial intelligence technologies to assist with document classification, data extraction, optical character recognition (OCR), and compliance calendar scheduling.
2. Automated analysis is provided for your convenience only. It does not substitute for professional human review. You should verify all auto-populated fields and extracted dates.

14.Pricing, Fees & Payment Terms

1. Total Fees: Total fees consist of FileMyBiz service fees plus official state, county, or federal statutory filing fees.
2. Government Fees: Government filing fees are collected by FileMyBiz strictly as an agent for remittance to government agencies. Once an application has been submitted to a government office, government fees are strictly non-refundable under any circumstances.
3. Service Fees & Refunds: FileMyBiz service fees are eligible for a refund upon written request prior to our team initiating the preparation, verification, or submission of your documents. Once document preparation has commenced or a filing is submitted, service fees are non-refundable.
4. Chargebacks: Initiating an improper or fraudulent credit card chargeback without first contacting support may result in immediate suspension of your account, administrative withdrawal of pending filings where permissible, and collection efforts for recovery of disputed funds and bank penalty fees.

15.Recurring Subscriptions & Automatic Renewal

1. Certain services (including Registered Agent Partner Referrals, Annual Compliance Monitoring, and Managed Filing Plans) are offered on an annual or monthly recurring subscription basis.
2. Automatic Renewal: Unless cancelled prior to your billing renewal date, recurring subscriptions automatically renew for successive terms at our then-current standard rates.
3. Cancellation: You may cancel recurring compliance or monitoring subscriptions at any time through your Account Settings or by contacting support@filemybiz.com. Cancellation prevents future renewal charges.

16.Registered Agent Partner Referral Services

1. FileMyBiz connects customers with independent, licensed third-party commercial Registered Agent providers ("Partner Agents") in the state where your entity is formed or qualified.
2. When you select a Registered Agent service, you authorize FileMyBiz to transmit required business and contact details to the designated Partner Agent.
3. The Partner Agent serves as your registered office for receiving legal process (service of process) and official state notices. You are responsible for keeping your contact information current with the Partner Agent.
4. If you cancel registered agent services, you must formally file an amendment or change of agent with the state. Failure to maintain an active registered agent may result in administrative dissolution by the state.

17.Electronic Communications & Electronic Signatures

By using our platform, you consent to receive all notices, disclosures, tax documents, filing receipts, and communications electronically via email or through your client dashboard. You agree that electronic signatures, click-wrap acknowledgments, and entered initials carry the same legal validity and enforceability as handwritten signatures under the federal ESIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).

Consent to Electronic Delivery. By creating an account, placing an order, or checking any agreement box on www.filemybiz.com, you voluntarily consent to receive all notices, agreements, disclosures, filing documents, billing receipts, annual report reminders, and customer communications electronically, delivered via email to your registered email address or made available within your secure client portal.

Legal Validity of Electronic Signatures. Typing your name, providing digital initials, checking an acknowledgment box, or clicking "Submit," "Pay Now," or "I Agree" constitutes your legal electronic signature under the ESIGN Act and UETA, carrying the identical legal force, effect, and validity as a physical, handwritten signature.

Hardware and Software Requirements. To access and retain electronic records, you need:

• An active email account.
• A modern web browser with 256-bit encryption support (e.g., Chrome, Safari, Edge, Firefox).
• Software capable of reading Portable Document Format (PDF) files.
• Sufficient storage space or printer access to save or print copies for your records.

Right to Withdraw Consent. You may withdraw consent to receive electronic records at any time by sending written notice to support@filemybiz.com. Because our platform is a digital service, withdrawing consent may result in the limitation or termination of your account and our inability to submit further electronic filings on your behalf. Withdrawal applies prospectively only and does not affect the validity of records previously executed or delivered.

Requesting Paper Copies. You may download and print electronic records from your client account at any time at no cost. If you request physical paper copies mailed by FileMyBiz, an administrative printing and handling fee plus standard postage charges will apply.

18.Account Security & Credentials

1. You are responsible for safeguarding your login credentials (username, password, and two-factor authentication tokens).
2. You must immediately notify FileMyBiz of any unauthorized access, security incident, or compromised password.
3. FileMyBiz is not responsible for any losses arising from unauthorized access resulting from your failure to maintain account security.

19.Document Storage & Retention

1. FileMyBiz provides encrypted cloud storage for your filed documents, articles of organization, certificates of incorporation, EIN confirmation letters, and corporate records.
2. While we maintain automated redundant cloud backups, you are strongly advised to download, maintain, and safeguard independent offline copies of all official state documents and organizational records.
3. Upon account closure, FileMyBiz reserves the right to retain records as required by applicable tax, corporate, and recordkeeping laws, after which data may be securely archived or deleted in accordance with our retention policy.

20.Third-Party Services & Links

Our platform may provide referrals, integrations, or links to third-party services (such as banking partners, merchant processors, registered agents, CPA firms, and legal service providers). FileMyBiz does not control, endorse, or assume responsibility for any third-party products, services, terms, or privacy practices.

21.Intellectual Property & Brand Rights

The software, website design, text, graphics, logos, icons, user interfaces, document templates, and database structures comprising FileMyBiz are the exclusive property of File My Biz Inc. and are protected by United States copyright, trademark, and trade secret laws. You may not copy, reverse engineer, scrape, resell, or distribute our platform or content without express written consent.

22.Prohibited Uses & Unlawful Activity

You agree not to use our services:

1. For any unlawful, fraudulent, or malicious purpose, including money laundering, terrorist financing, tax evasion, or identity theft.
2. To form entities or file documents containing false, fictitious, or stolen personal identities or addresses.
3. To transmit malware, viruses, or disruptive code to our servers or infrastructure.
4. To scrape, crawl, reverse engineer, or harvest data from our platform.

23.Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE FILEMYBIZ PLATFORM, SERVICES, AND DOCUMENTATION ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. FILEMYBIZ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

24.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

1. IN NO EVENT SHALL FILE MY BIZ INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOOD STANDING) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
2. IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF FILE MY BIZ INC. ARISING OUT OF OR RELATING TO ANY CLAIM, ORDER, OR SERVICE SHALL BE LIMITED STRICTLY TO THE AMOUNT OF SERVICE FEES ACTUALLY PAID BY YOU TO FILE MY BIZ INC. FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM, EXCLUDING ANY THIRD-PARTY OR GOVERNMENT STATUTORY FILING FEES.

25.Indemnification

You agree to defend, indemnify, and hold harmless File My Biz Inc., its directors, officers, employees, agents, affiliates, and contractors from and against any and all claims, damages, liabilities, losses, judgments, fines, costs, and expenses (including reasonable attorney fees) arising from or relating to:

1. Any breach by you of these Terms.
2. The accuracy, falsity, or illegality of any data or filings provided or authorized by you.
3. Any dispute regarding ownership, membership, equity, or control of any business entity registered through FileMyBiz.
4. Any trademark or copyright infringement arising from your chosen entity or DBA name.

26.Account Suspension & Termination

FileMyBiz reserves the right to suspend or terminate your account, halt pending filings, or refuse service at any time without prior notice if we reasonably suspect fraud, illegal activity, submission of false data, non-payment, chargebacks, or violation of these Terms.

27.Modifications to Terms & Services

We reserve the right to amend, update, or modify these Terms at any time. When modifications are made, we will update the "Last Updated" date at the top of this page. Your continued use of the website or services following any changes constitutes your binding acceptance of the revised Terms.

28.Dispute Resolution & Governing Law

1. Governing Law: These Terms and any dispute arising out of or related to your use of the website or services shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles.
2. Jurisdiction & Venue: Any legal action, suit, or proceeding arising under or relating to these Terms shall be instituted exclusively in the state or federal courts located in Marion County, Indiana. You irrevocably submit to the personal and exclusive jurisdiction of such courts.
3. Waiver of Jury Trial & Class Actions: YOU AND FILE MY BIZ INC. AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR FILE MY BIZ INC. WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

29.Severability & Entire Agreement

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and any written order confirmation, constitute the entire agreement between you and File My Biz Inc. regarding our services.
